" المقاولة في ضوء المستجدات التشريعية "

 

عرفت المنظومة القانونية المغربية المتعلقة بالتجارة والأعمال تحولات جذرية في الآونة الأخيرة تمثلت في تعديل مجموعة من النصوص القانونية التجارية الأساسية ووضع نصوص أخرى جديدة.

وقد جاءت هذه التغيرات التشريعية في سياق التحولات التي عرفها الاقتصاد العالمي، الذي اخذ يتجه بشكل متصاعد نحو الانفتاح والاندماج، ورفع الحواجز بين الاقتصاديات المحلية، في إطار تحقيق إقلاع اقتصادي يتميز بالعولمة، وتذوب فيه الاقتصاديات الوطنية.

إن المغرب الذي لم يعد بمنأى عن السياق أعلاه، قد اعتمد مجموعة من الإصلاحات التي شملت نواحي عديدة، يتكامل فيها ما هو قانوني بما هو اقتصادي. هدفه الأساسي من ذلك بالخصوص، جلب المستثمر، على اعتبار أن الاستثمار أضحى دعامة أساسية لأي اقتصاد يصبو إلى التنمية وخلق الثروة وإحداث فرص الشغل.

والواقع أن ميدان الأعمال قد حظي منذ ردح من الزمن، بإصلاحات تشريعية مهمة شملت مختلف القطاعات والميادين، وكان لقطاع المقاولات منها نصيب أوفر، ;

وعيا بالدور الريادي لها في بلوغ الغاية المشار إليها. فكان إرساؤها على أسس متينة، والنهوض بها، وتمكينها من مقومات النجاعة، وحمايتها من التقلبات أمرا ضروريا، حتى تتلاءم أوضاعها مع التحولات التي يعرفها المحيط الوطني، والجهوي والعالمي.

إن هذه التعديلات العميقة، تأتي تفعيلا لمتطلبات التنمية، وهي تروم في مجملها تحديث المنظومة القانونية وجعلها تستجيب لتطلعات الفاعلين ومقتضيات الاقتصاد الرقمي، وترتقي بمجال المال والأعمال إلى المستوى الذي يؤهله لتوفير المزيد من مناصب الشغل. وهي تتوخى إضافة إلى ذلك، تبسيط المساطر المرتبطة بخلق المقاولة وحسن تدبيرها، قصد بناء اقتصاد قوي ومنتج، وترسيخ دعائم حقيقية لضمان الاستقرار الاجتماعي

ويمكن القول إجمالا، بأن هذه التجديدات تتلمس غاياتها عبر السير في اتجاهين متلازمين:

الأول: يهدف إلى تأهيل مناخ الاستثمارات في المغرب بما يمكنه من المنافسة في مجال جلب الاستثمارات الأجنبية.

والثاني: يرمي إلى تأهيل المقاولة المغربية وتنمية قدراتها التنافسية.

كل ذلك من منطلق القناعة بأن المنافسة ترتبط ارتباطا وثيقا بالأعمال والممارسات التجارية، حيث لم يعد ينظر إلى المنافسة المشروعة على أنها أمر طبيعي وحيوي فقط، بل إنها توصف بكونها "ديموقراطية النشاط الاقتصادي".

وبناء عليه، يسجل أن المشرع المغربي قام في هذا الإطار، بإجراء تعديلات على منظومته التشريعية، نذكر منها على الخصوص:

  1. إلغاء عدد من القوانين التي لم تعد ملائمة بالمرة، وتعويضها بقوانين جديدة من قبيل القانون رقم 12/103 المتعلق بهيئات الائتمان والهيئات المعتبرة في حكمها، وإمكانية إحداث المقاولة بطريقة الكترونية ومواكبتها استنادا للقانون رقم 17/88، والقانون رقم 18/47 المتعلق بإصلاح المراكز الجهوية للاستثمار...
  2. الإبقاء على قوانين أخرى مع تعديلها حتى تكون أكثر مسايرة للواقع الجديد، وذلك شأن القانونين رقم 17/89 و 17/73 المغيرين والمتممين لمدونة التجارة، استجابة لما أفرزته الممارسة العملية من ضرورة التنصيص صراحة على التوطين، وإصلاح الاختلالات التي أبانت عنها مقتضيات الكتاب الخامس من مدونة التجارة المتعلق بمساطر صعوبات المقاولة، حيث اتضح من خلال الإحصائيات المنجزة على مستوى المحاكم التجارية للمملكة أن ما ينيف عن تسعة أعشار مساطر التسوية تنتهي بالتصفية القضائية. والإقبار النهائي للمقاولة

هذه الإشكالات وغيرها مما يتصل بها، هي التي ستحاول هذه الندوة مناقشتها، من خلال تسليط الضوء على المستجدات المسجلة بشأنها، ومنهجية تنزيلها على مستوى الواقع العملي، مع رصد الاختلالات المفترضة، ومدى إمكانية تعديلها

وذلك من خلال المحاور التالية:

  • المحور الأول: النظام القانوني للإقلاع الاقتصادي البديل
  • المحور الثاني: مستجدات قانون صعوبات المقاولة،
  • المحور الثالث: خلق المقاولة بطريقة الكترونية وإمكانية التوطين
  • المحور الرابع: التمويل التشاركي أو التعاوني وآثاره على الاستثمار.

Le département de droit privé de la Faculté des sciences juridiques, économiques et sociales de l'Université Mohamed I d’Oujda, en partenariat avec le Centre Régional d'investissement, organise un colloque international intitulé :

 

« L’entreprise à la lumière des évolutions législatives. »

Lesystème juridique marocain relatif au commerce et aux affaires a récemment subi des changements radicaux. Ces derniers consistaient à modifier un ensemble de textes juridiques de base ayant trait avec le commerce et à en développer de nouveaux ;

 

Ceschangements législatifs sont intervenus dans un contexte marqué par plusieurs transformations, que connait l'économie mondiale. Cette économie s'oriente de plus en plus vers l'ouverture et l'intégration, ainsi que l’enlèvement des barrières entre les économies locales, dans le but de réaliser un décollage économique caractérisé par la mondialisation et dans lequel fusionnent les économies nationales ;

LeMaroc, qui n'est plus à l'abri du contexte ci-dessus, a adopté un ensemble de réformes qui ont couvert de nombreux aspects, où le juridique et l'économiquesont devenus complémentaires. L'objectif principal de cette démarche est surtout l’encouragement de l'investisseur, car l'investissement est devenu l'un des piliers de toute économie, qui vise la création de richesse, le développement et la réalisation d'opportunités d'emploi ;

Eneffet, le domaine des affaires a bénéficié, depuis longtemps, d'importantes réformes législatives qui ont inclus divers secteurs et domaines, dont la grande partie a été réservée au secteur de l’entreprise ;

Conscience de son rôle de pionnier dans la réalisation de l'objectif précité. La stabiliser sur un socle confirmer, la faire développer, lui permettre d'avoir les ingrédients essentiels de la réussite, et la protéger des fluctuations est nécessaire, pour que ses conditions soient compatibles avec les transformations que connaît l'environnement national, régional et mondial.

Ces réformes profondes viennent, suite aux exigences de l’évolution que connait le monde et qui dansl’ensemble visent à moderniser le système juridique et à le rendre compatible avec les aspirations des acteurs et aux exigences de l'économie numérique. Un autre but est aussi visé, en l’occurrence la modernisation du secteur de la finance et des affaires, pour qu’il soit un fournisseur d'emplois

En outre, les nouvelles réformes juridiques envisagent la rationalisation des procédures associées à la création et à la gestion d'une entreprise, afin de bâtir une économie forte et productive, et d'établir de véritables piliers pour assurer la stabilité sociale.

En définitive, on peut dire que ces reformes cherchent à réaliser deux objectifs majeurs à savoir :

  • L’amélioration des conditions de l'investissement au Maroc, pour les rendre compétitives et attractives des investissements étrangers ;
  • La réhabilitation de l'entreprise marocaine et le développement de ses capacités compétitives ;

Tout ce travail intellectuel repose sur la conviction que la concurrence est étroitement liée aux affaires et aux pratiques commerciales, où la concurrence légitime n'est plus considérée uniquement comme naturelle et vitale, mais est également décrite comme une "démocratie de l'activité économique".

Eu égard à ce qui précède, il est constaté que le législateur marocain a apporté des modifications à son arsenal législatif dans ce cadre, notamment :

  1. L’abrogation d’ un certain nombre de lois qui ne sont pas du tout appropriées, et les remplacer par de nouveaux textes, telles que la loi n ° 12/103 relative au crédit et aux établissements de crédit dans sa règle, et aussi la possibilité de créer l'entreprise de manière électronique et de suivre le rythme conformément à la loi n ° 17/88 et à la loi n ° 18/47 relative à la réforme Centres régionaux d'investissement ...
  2. Maintenir d'autres lois tout en les ajustant afin qu'elles soient plus conformes à la nouvelle réalité, tout comme les lois n ° 17/89 et 17/73 modifiant et complétant le Code de commerce, en réponse aux résultats obtenus à travers la pratique opérationnelle, d’où la nécessité de prévoir explicitement la localisation et la correction des imperfections, que montraient les exigences du cinquième livredu code de commerce, qui concerne les difficultés procédurales rencontrées par l’entreprise. Il s’est avéré, à travers les statistiques réalisées au niveau des tribunaux de commerce du Royaume que plus des neuf dixièmes des procédures de régularisations se terminent par la liquidation judiciaire et la destitution finale de l’entreprise.

Ces problèmes et d'autres questions y sont relatifs que ce symposium tentera de discuter, en mettant en évidence les développements qui y sont enregistrés, et la méthodologie adoptée pour leurs mises en place au niveau de la réalité pratique, tout en recensant les imperfections supposées, et dans quelle mesure ils peuvent être modifiés.

  2. Le deuxième axe: les nouveautés du droit relatif aux difficultés de l’entreprise ;
  3. Le troisième axe: créer une entreprise de manière électronique et la possibilité de localisation ;
  4. Le quatrième axe: le financement participatif ou coopératif et ses effets sur l'investissement.

Une proposition est soumise pour l’intitulé de l'intervention, jointe à un résumé dans les limites de dix lignes élaborées par ordinateursous forme « Word » sur papier A4 16 fois New Roman.Les recherches complètes doivent être écrites par ordinateur sous forme « Word » sur papier A4 en Times New Roman et envoyées par email: droit.affair@gmail. com.

Les résumés et les articles sont présentés par l’une des langues suivantes: Arabe, Français ou Anglais.

Le Respect des programmes de recherche scientifique est obligatoire, car toutes les recherches seront présentées à un comité scientifique.

Il est demandé aux postulants des recherches, que ces dernières ne doivent pas avoir été présentées lors des séminaires ou conférences précédents ni publiées dans des magazines ou autres.

 

La date confirmée pour chaque étape du séminaire:

  • 02 mars 2020, date limite pour accepter le formulaire d'inscription ;
  • 09 mars 2020, avis aux participants de la décision du comité scientifique ;

The Law Division of the Faculty of Juridical Sciences , Economic and Social Sciences, University of Mohammad I in Oujda, in partnership with the Regional Investment Center, organizes an international seminar entitled:

“Entrepreneurship in light of legislative developments”

 

The Moroccan legal system on trade and business has recently undergone radical changes, namely the amendment of a set of basic commercial legal texts and the development of new ones.

These legislative changes have come within the context of the transformations defined by the world economy, which is increasingly moving toward openness and integration, and the lifting of barriers between domestic economies, in the context of the realization of economic takeoff characterized by globalization and the dislocation of national economies.

Morocco, which is no longer out of context above, has adopted a series of reforms that have covered many aspects, integrating what is legal with what is economic. Its main objective in particular is to attract the investor, considering that investment has become the mainstay of any economy that is seeking development, wealth creation and job creation.

In fact, the field of business has for some time been undergoing important legislative reforms covering various sectors and fields, of which the contracting sector has a more substantial share;

Aware of the leading role it plays in achieving the above-mentioned goal. Its foundation, promotion, empowerment, and protection from volatility were necessary to adapt its conditions to the transformations defined by the national, regional and global oceans.

These profound changes are in order to give effect to development requirements, and they all promote the modernization of the legal system and make it responsive to the aspirations of actors and the exigencies of the digital economy, and take the business and financial field to the level that it qualifies to provide more jobs. In addition, it envisages the simplification and better management of the risk associated with the creation of entrepreneurship, in order to build a strong and productive economy, and to establish real foundations for social stability

In general, these innovations touch their objectives through two concomitant approaches: The first is to rehabilitate the investment climate in Morocco so that it can compete in the field of foreign investment. Second, it aims at rehabilitating Moroccan entrepreneurship and developing its competitiveness.

This is all because of the conviction that competition is closely related to business and business practices, since legitimate competition is no longer perceived as only natural and vital, but rather as "the democracy of economic activity".

Accordingly, it is recorded that in this context, the Moroccan legislature has made amendments to its legislative system, in particular:

  1. The repeal of a number of laws that are no longer appropriate and are subject to new laws, such as Act n° 12/103 on credit bodies and bodies considered in their judgment, and the possibility of electronic contracting and keeping them in line with Act n° 17/88, and Law n° 18/47 on the reform of regional investment centers...

 

  1. To maintain and amend other laws in order to be more in line with the new reality, such as laws n° 17/89 and 17/73 which are changing and provisions of the Code of Commerce, in response to the need for explicit provisions on settlement in practice, and to rectify the imbalances expressed in the requirements of the fifth book of the Code of Commerce on the risk of Contract difficulties; It was clear from the statistics achieved at the level of the Kingdom's commercial courts that more than nine tenths of the settlement lines ended with judicial liquidation. And final contract.

 

These and other related issues will be discussed by this seminar, by highlighting the latest developments and the methodology of its downloadable in practice, while monitoring the presumed imbalances and their possible modification through the following themes:

  • First:Alternative Economic take-Off Legal System.
  • Second: New developments in the Contract difficulties Act.
  • Third pillar: Electronic contracting creation and resettlement.
  • The fourth theme: Participatory or cooperative financing and its impact on investment.

Requirements for submission of the paper

 

A proposal for the address of the barge is presented with a summary of up to ten lines written by Microsoft Office Word on A4 16 Times New Roman, and the entire research is written by the Microsoft Office Word on SheetA4 in the Times New Roman font and sent by e-mail:droit.affair@gmail.com

 

Summaries and papers are presented in one of the following languages: Arabic, French or English.

To be committed to the methods of scientific research, where all research will be presented to a scientific committee.

Research should not be presented at previous seminars or conferences or published in magazines or others.

 

 

 

Approved date for each stage of the seminar:

 

  • 02 March 2020: Latest to accept the participation.
  • 09 March 2020: Notification to shareholders of the decision of the Scientific Committee.
  • 30 March 2020: Latest to receive the full text of the paper.
  • 13 April 2020: sending the final program to the participants of the Seminar.
  • 17 and 18 April 2020: the date of the launch of the workshop with the welcome of the Faculty of Law in Oujda.
